i currently have the following specs:
intel core 2 E2180 @ 2.00 GHz
ram:3 gb ddr2
gpu:sapphire radeon hd 5670 1gb GDDR5
i currently get 20~22 fps on gta 4 at nice graphics.

so which of the following option can give me a fps boost like 30 fps:
opt 1)changing the processor to amd phenom II X4 840 and a compatible motherboard. or
opt 2)changing the gpu to sapphire radeon HD 5770 1GB GDDR5

i can choose only one of the following option.

Most modern games are optimized for multi threaded multi=core cpuz.
so hopping to a phenom ii x4 quad core processor from entry level dual core core2duo cpu will definitely boost more performance than opting for 5770 from 5670

your processor is seriously bottlenecking the card. Upgrading the processor will definitely help

:agreed: There is some serious bottlenecking plaguing your rig.
Try getting a used proccy if you can.
Also you might not get much increment in performance if you buy an HD5770 coz it's only a notch above your current HD5670.
