Don't you think that a quad core system is tooo much. For a downloading rid you are going to waste too much money as well as electricity. If you are not interested in gaming/video encoding/rendering then 4 cores are just a waste.

get a normal core 2 duo for that purpose or a X2 from AMD

Go with Ishu's suggestion of MoBo.
Since its gonna be a downloading rig I think it would be better if you go for 1TB HDD.

I guess you should stick with intel this time. Clarkdale based i3's have much lower TDP than AMD propus based quads. So for a download rig, the intel option will save better in electricity bills.

Since you won't be doing video encoding, the i3's will have better performance overall and its even got hyperthreading. So you will be still processing 4 threads simultaneously sacrificing a bit on performance efficiency since you have 2 physical cores.

Go for i3 540 @ 5k & pair it with Gigabyte GA-H55M-S2 @ 3.6k. This system will run cooler than amd ( relatively because nowadays amd systems do not run hot either) and will consume less power (again relatively).

Get 2 HDDs. I'd say one 500 GB and one 1 TB. Either get both WD green or get one WD Green and one samsung Ecogreen.
You might want to save a bit on the processor to accommodate this. I'd suggest Athlon II X2 250.
CX400 is a good choice of PSU if you are going to run this PC 24x7 or something like that.
