Help for my old rig

I am assembling a PC using used cheap components, and these are the components I have managed to gather till now :

Zotac GTX260 216 900MB GDDR3 Sonic edition
Tagan StoneRock 600W
big enough cabinet (approx height and length of NZXT Gamma, depth is about 1 inch lesser)
Corsair 4 GB ddr3 RAM @ 1300 Mhz
Seagate 1 TB 7200 rpm drive (fresh from RMA)

I'm primarily looking to play games on this new old rig.

------------
I've got most of the components at hand, and only need a CPU+motherboard. Currently, I have 2 choices for the CPU+Mobo.

-----------
**1. Choice #1**
-------

i5-760 (4k)
4 gb ddr3 (have it at hand, removed from price)

I have a choice of these motherboards :

MSI P55-GD85 or GD55 (price not known yet)
MSI P55M-GD45 (for 4.4k) (this is the most promising, im trying to get the guy sell at ~3.5k)
Intel DH55TC (I may get it for cheap, however, I'm looking to overclock, hence, want to know if this is a good choice)
ASUS P7P55D-E Pro (5k)
TOTAL : 7k-9k

-------

**2. Choice #2**
------

Q9550
asus p45
2x2gb ddr2 running at 960mhz
TOTAL : 6k
---------

Also, one more thing, is the GTX260 216 sonic more powerful than a HD6770 1 gb ddr5??? (that hd6770 is in my amd 955 BE rig, i was wondering which gpu to put in which rig to maximize benefits and FPS)

Which one should I go for to maximize benefits? Is the price difference of Q9550 and i5-760 enough to warrant the almost 1k-2k bucks difference?

I want have the max. bang for the buck, and even 1-2k can make or break my deal.

GTX 260 Sonic 216 is not more powerful than HD 6770 in most of recent titles and has huge power consumption. It also lacks the DX 11 and DirectCompute support.
For rig, get the i5 760 with MSI P55M-GD45. Don't get the Intel one as most of the Intel vanila boards are BIOS locked and overclocking is not at all possible.
