Right-click the new volume and select "Format".
If the volume size is larger than 32GB, FAT32 option can't be seen in the list. In such cases, you need to create multiple partitions below 32GB each to format it to FAT32.

also u can ...
1. RUN diskmgmt.msc
2. select the partition and format it to fat32...
both the methods r exactly the same...

Why would you want to convert NTFS to fat?. FAT is dead , NTFS is the future for few years. If you convert it to FAT. Prepare for lot of error messages.

hey WAIT YOU CAN CONVERT FAT32 to NTFS wothout formatting

type cmd in RUN
then type this
convert X: /fs:fat where x is your drive letter

and no need to format or no file will be corrupted and windows will work fine

convert command is for converting fat to ntfs and not vice versa.

but, u can try partition magic from norton(earlier powerquest) which does a very good job (99% success rate).
