Cpu and Motherboard for 6k (am3)

Since the mobo and cpu combo in my sig is a fail. I have decided to go for the new am3 socket cpu.
I researched a little and found amd athlon2 245 to be good for me at around 2.9k but can't find a decent motherboard for it within the budget. So i need your help in this.
Some things which i require from the mobo are
4dimm for future upgrade, 4 or more sata ports. 6ch audio (realtek or better)
Onboard video is not required since i already have 9500gt.
Also can i use my current ddr2 ram?

Nope, you'll have to buy a DDR3 RAM.

Well there r AM3/AM2+/AM2 MoBos in which he can use his DDR2 RAM..for e.g Gigabyte GA-M68M-S2P , Biostar A785GE , Biostar TA785GE 128M , Asrock A790GMH 128M , Asrock A785GXH 128M..
But his condition of 4 RAM slots r the prob..All the above boards hv 2 RAM slots except for Biostar TA785GE 128M , Asrock A790GMH 128M n Asrock A785GXH 128M which hv 4 RAM slots..Moreover availabilty mite be an issue as so far I found these boards only at theitwares.
The good thing abt these boards - he doesn't hv to change his CPU!
Bad thing - If he wanna use DDR3 RAM he'll hv to again buy a new board!!

I don't want x3. The only cpu dependent apps which i run use only 2 cores. And hence i don't want to invest in a cpu which has l3 cache.
Also i will exchange my current ram for ddr3 1333mhz
