Windows ME hangs when shutdown! Please Help!!!

I have a P-IV 2.8G, Intel 845GBF Motherboard with Windows XP on a dual boot with Windows ME. I am facing a problem while shutting down Windows ME (I am not facing any problem with Windows XP, though!). Whenever I shutdown from Windows ME, the system hangs and a blank screen comes with a cursor. So I go ahead and switch off the system. However, I observe that once I restart the machine and get into Windows ME again the system says that it needs to check the drives as the system was not shutdown properly the last time. I am concerned and curious to know what the problem is and how to solve this problem.

I think a lots of background proccess are running.Just disable unneccesary services and process and see.
I think it should solve your problem.
