2. with 3g, bluetooth, edge, wifi
3. Music & Video playback
4. GPS
5. Mem slot
6. Touch screen

If you only wanna touchscreen... go for iPhone

Great phone. In your budget & with your requirements I can think of only 2 phones:
Asus P527
HTC P3300

Out of these 2 I would recommend the Asus solely because it also has a keypad to go alongwith the touchscreen. I have tried the phone myself & its awesome. Camera is average though but not too bad.

It is very easy to share GPRS in Win Mobile. All WM phones provide this facility.
