955 BE has a 6 MB L3 cache which will help it to perform ~10-15% better compared to Phenom II X4 840.

Another difference is pricing - with the recent price hikes 840 is available at 5.2k and 955BE is 5.8k but as 955BE is a black edition cpu it can be easily Oced and can even reach the speed of 980BE wth a good after market cooler.

So 955BE represents more VFM and getting a 955BE makes more sense
