Microsoft to Possibly Acquire nVidia By Power of Agreement

If you thought that the Microsoft acquiring Nokia mobile unit rumor was the mother of all rumors, you might want to reconsider as it looks like Microsoft is taking things really seriously -- or at least the rumors around Redmond are piling up.

Microsoft reportedly has an agreement in place with nVidia which would enable Redmond to acquire the graphics and mobile processor manufacturer. According to InformationWeek, "the deal gives Microsoft the exclusive right to match any offer for 30% or more of nVidia's outstanding shares by a third-party, according to an SEC filing".

"Under the agreement, if an individual or corporation makes an offer to purchase shares equal to or greater than 30% of the outstanding shares of our common stock, Microsoft may have first and last rights of refusal to purchase the stock," says the nVidia filing dated May 27. While Microsoft officials declined to comment, an acquisition of nVidia would give a whole new sense to Windows Phones and, needless to say, if Microsoft acquires Nokia's mobile unit as rumors, it will have Windows Phone 7, Nokia, nVidia and Skype. Who could stop it?

To be fair it only suggest MSFT has veto rights over any takeover of NVIDIA if that comes to question. I don't see any need to MSFT taking over NVIDIA.

And btw, it's not like M$ is BUYING nVidia completely! It's just that they can get about 30% of them. So I think, no worries here... :?

if microsoft takeover , where will nvidia's focus go is hard to fathom!
right now nvidia's focus on pc gaming(gfx cards) has gone down, and it will go down even more if they are acquired..
microsoft says xbox360's gfx is not outdated! (u see where i'm coming from)

also linux drivers...
microsoft buys it, 3d acceleration dies on linux

then apple might buy amd ;)

and drivers for radeon also disappear :-x

if MS acquires nokia's mobile unit then what will nokia have left?

they would have to go back to their camera buisness or make new mobile unit.

I sure hope they dont acquire nvidia. this could mean:

drop in nvidia's GPU performance

OR

AMD working poorly in windows.

also

I would not take 30% lightly. for all you know, it may be the single largest shareholder in the board. that would mean it would be the controlling/executive group.

Only for change in company policies would the others have a significant say.

both are public companies. even 10% private stock ownership is significant.

On a side note, as a Club SLI member I was invited to their shareholder meeting lol.Not that i attended coz im only a teenager and not living in USA :p

^ Nokia's planning on using Microsoft's WP7, buying Nokia would be disrespectful for the time being. Also how can you expect them to buy such a big company like Nokia?

Hmm..So it is possible, but Nokia probably wouldn't agree to it because it will be like surrendering to the world and they've just started trying to recover.
Nokia has been struggling lately. Their market cap has diminished. They are a struggling company at this point.
