flash drive boot sector error!

i am using a mp3 player of fat filesystem FAT.But i can't format it i used command prompt and they are saying my mp3's boot sector is damaged.
i couldn't recover it pls help me.

U mean u tried formatting it using Command prompt???????

I am not sure but then i read somewhere that Flash drives have some read/write cycle life......(not sure was pen drive or flash drive).......so if it so then ur drive may be conked out......if i am wrong pls correct me
