CPU & Motherboard Upgrade

I just need to know whether Intel Pentium G620 Sandy Bridge 2.6GHz CPU teamed up with H61/67 Motherboard will be upgrade OR degrade to Intel Core 2 Duo E4300 1.8Ghz on Intel D946GZIS Motherboard.

But, the performance gain will not be too much in my opinion. Better opt in for a sandybridge core i3, if you're not willing to shell out too much for the upgrade, else, wait for some time, collect the money and get yourself atleast an i5.

I really appreciate your views/opinions. Thanks to all of you.

I was really curious to know if Intel Pentium G620 will be on par with my existing 5yrs old C2D E4300 so I put up the query.

The budget could go up-to 12k for CPU & motherboard combo but I really feel that G620 will suffice me & my family's needs in next 3yrs at least or even 5yrs. Moreover I've made up mind to get Trinity or Core i3 Ivy bridge Notebook when they come & stabalise so I'll use that saved money there.

I'm looking for replacement rather than Upgrade.
All of the Components are procured 5yrs back in July/Aug 2007. I'll retain 160gb HDD & 19" monitor and will sell other stuff.
I can at least expect to get 3k or even more out of it & by adding 7k to 8k to it can get Pentium G620 + gigabyte H61 board + 2gb ddr3 ram{or 4 gb 2+2} + DVD + Basic circle cabinet.
If I get good value for my entire system then may go for complete new PC.

I had plans to go AMD way this time but Athlon II & Phenom II are quite old & I feel this is best I can get in my budget. If anything better than G620 in similar budget then do recommend.
