Need help in PC upgrade

Hi,
I have the following PC config.
AMD Athlon 64 3200+(Soket 939)
Asrock K8 Combo motherboard
1GB DDR
160 GB HDD
Nvidia AGP based video card

I have made a decision to upgrade my PC after my mobo started to show some problems.
Please advice me on this.
1.Should i need to replace only the mobo and the RAM to DDR2 with existing processor?(I am not getting the mobo with AGP now)
2.Should i change all? processor,mobo,RAM and video cards.
3.Should I go for AMD or Intel?

My budget for them is around 25K.

Is it 3 yrs old ? as Mobother boards usually comes with 3 yrs warrenty...

Well AFAIK no 939 socket motherboard supports DDR2 RAM. In this case u have to upgrade all of ur components including Processor,Motherboard & RAM.
And the answer will be INTEL Core 2 Duo.Ur budget is 25K and u will also get something when u sell ur System then roughly u will be having 30-32 K (min)
In this case u can have a smooth config. like this:
E4300 =5050/-
XFX nForce 650i Ultra =5550/-
Seagate 250 GB= 3000/-
Transcend 1 GB 800 Mhz = 2650/-
Samsung 18x DVD - Writer = 1675/-
PowerSafe 500W Silver SMPS = 1900/-
Cabinet = 1100/-
XFX 8600GT = 7700/-

Total = 28625/-

U can also add an extra RAM same one.

Actually I wont replace my existing hard disks,If i go for full upgrade then it will processor,mobo,graphics card and RAM.Thanks for your suggested configuration

Well at this point u can save 3000/- and u can go for 8600 GTS for 11000/- approx. which is a better card than 8600 GT.
