LOL.. the player might have been encoded with AC3 audio codec and you will not have that installed.

You can check wht codec you have or dont have have here:
Gspot:

Or downlaod this :
K-Lite Mega Codec Pack 1.34
*www.softpedia.com/progDownload/KLite-Mega-Codec-Pack-Download-15909.html
Install that and you can play all files without audio/video problems.

It got nothing to do with hardware.

Yes. Your divx movie may be encoded using ac3 audio or an audio encoder that is not supported by other players because in your system that codec might not be installed.
If you have virtual dub then u can check how the audio is encoded. Open that movie in virtual dub and click the menu File -> File information. It should show video information and audio information. In audio it will show how many channels is available,
which format etc ( it may show unknown if it is not a supported format ). if the channels show 6 then it is encoded in ac3. You may download a free ac3 decoder from the link below.
*ac3filter.sourceforge.net/

hope this works

I have a 20 min video clip(DVD-Rip I think) encoded in DivX.When I try to convert it to VCD the audio is lagging behind video.
Why is it?

audio lag is the most common problem with encoding videos.
your divx file must be having some errors and b'coz of that you get a skewed file.
i dont have a practicle solution to this .. so .. dont ask me wht to do about it :(
