Winxp Setup : Headache

I am trying to install updated version if windows xp on my pc which has windowsxp .....but after i insert the cd and when i select UPGARDE...after automated copying it gives me ..two errors
1> cannot read or write to drive c:
2> cannot retrieve drive information.

I have uninstalled my antivirus also. There many s/w conflicts..much of my s/w is noot running properly.. so i have decided to install this newer WINXP.
I also wanna aviod formatting.
Another problem is yahoo messenger is giving problem. when ever i try to message soem one i cannot see the message i haev writen...nor teh message sent to me..i can only read offline messages...
i cannot install dameon tools.
now can any one help come out of this soup???

Is your copy of WinXP a pirated one? I've seen similar issues(software conflicts, YIM problems, etc) in pirated versions of XP...

No! Its not the case of Pirated or genuine

Regarding to Yahoo! Messenger issue, try to install latest Flash Player.

PROBLEM SOLVED
As i had uninstalled anti virus..after that i accessed net w/o any firewall...due to which some virus entered in ..i guess..which was creating problem......so ..i had to FORMAT......and insatll all over again...
