MP3 Player for less than 3.5k.........

Guys please help me.....I want to buy a MP3 player for less than 3.5k (can extend the budget to 5K if it really does amake difference).Audio Quality is my concern............
I have shortlisted these 3(Do suggest any other player if its better in terms of audio quality)..............................
1. Apple iPod shuffle.
2. Cowon iAudio E2.
3. Creative Zen style M300.
I am willing to replace the stock headphones for a better one.

@OP: Dont buy iPod Shuffle , I have "two" and its not worth the money. also look into D2 as suggested by sandynator.
