i have often faced this problem....
and yet no solution... somethimes playing it in
BSplayer just solves the problem i dont know how..

(BS Player comes with K-Lite mega kodec pack...)

It is always true that u lose quality when u transform a file from one format to another. But it can be good enough if u dont compress it much. The processor speed has little to do with it as long as it is not very slow.
I too have faced the same problem though my processor is 2.66 gHz.

Could you be more specific -

What was the org. file (format)?
What did you convert it to and at what bitrate?
What tool/s did you use?
Does the file play OK on other systems? Try putting it on a disc.

There are n number of reasons for audio and video going out of synch.
During encoding, generally, selecting the wrong framerate is the main culprit. Like for eg. encode a PAL video (25fps) to NTSC (29.97fps) etc.

During playback, an underpowered system is one of the many reasons. But you should be fine with todays processors, unless you're dealing with HD material 1.5Ghz will play almost anything.

Troubleshooting such problems when you have codec packs installed is a pain in the a**, which is why I avoid them. Use GSpot to render your file and see what decoder is being pulled up. You can change decoder priorities using FilterManager.
